General Subscription Terms (CGA)

MEDIAN offers a high-speed internet access solution (4G/5G) based on systems combining multi-operator SIM Cards and industrial routers (the \"Systems\"). The service includes the provision of hardware and subscriptions to partner telecom networks. By using MEDIAN services, the Client accepts these terms without reservation.
Article 1: Main Definitions
- Subscription: Connectivity services subscribed to by the Client.
- System: Overall solution including Router(s) and SIM Card(s).
- Operator: Telecom partners (Orange, SFR, Bouygues, Free) through which MEDIAN provides the service.
- Interface: Any device (PC, tablet, POS terminal, machine) connected to the Network via the System.
Article 2: Services & Support
MEDIAN provides the connectivity defined in the Order Form.
- Technical Support: Accessible Monday to Friday (9am-6pm) by email and phone.
- Diagnosis: Remote assistance for connection status, SIM check, and line reset.
Article 3: Network Access & Performance
The System prioritizes 4G/5G network access depending on local coverage. Otherwise, it fails over to the best available quality.
Responsibility note: MEDIAN acts as an integrator and cannot be held responsible for the intrinsic quality of networks managed by third-party Operators or dead zones.
Article 4: Maintenance & Replacement (SLA)
- Delay: MEDIAN commits to replacing any System (lost, stolen, or broken) within two business days after report.
- Costs: Replacements for loss, theft, or damage are invoiced at the rates in force.
Article 5: Financial Terms
- Invoicing: Monthly, in advance, by wire transfer or direct debit.
- Prorata: Any deployment during a month is invoiced prorata temporis.
- Late payments: Penalties at 3 times the legal rate + €40 recovery fee. MEDIAN reserves the right to suspend the line after 8 days of non-payment.
Article 6: Termination & Asset Sale Clause
- Breach: Termination possible after 60 days of unanswered formal notice.
- Business Sale: In case of business sale or transfer of >50% capital, the Client may terminate with 2 months notice.
- Return: Equipment must be returned within 15 business days at the end of the contract.
Article 7: Liability & Confidentiality
- Limit: MEDIAN's liability is limited to the amount of the current annual subscription.
- Force Majeure: MEDIAN is not liable for outages due to external causes (power grid, national telecom networks, extreme weather).
- Non-solicitation: Ban on soliciting employees of the other party for 1 year after contract ends.
Article 8: Governing Law
These terms are governed by French law. Any dispute falls under the exclusive jurisdiction of the Commercial Court of Bobigny.
